Terms of Service

These Terms govern your purchase and use of the Clare AI software and services provided by Clare AI, operated as a sole proprietorship in Malaysia ("Clare AI", "we", "us"). By purchasing or using Clare AI, you agree to these Terms.

1. What you're buying

• Licence (one-time): a perpetual licence to deploy and run the Clare AI software on infrastructure you control, for the tier you purchase — Starter ($1,999), Professional ($4,999), or Enterprise ($10,999). It is a one-time purchase, not a subscription: there are no per-seat fees and no per-resolution or per-ticket fees.
• Setup & onboarding: included as described for your tier. Professional and Enterprise are built, branded and launched for you, typically live within about two weeks.
• Care plan (optional, recurring): ongoing hosting management, updates, security patches, tuning and priority support, billed at $99/month or $990/year, cancellable anytime. It is entirely optional — you may self-manage instead.

2. Delivery

After payment we deliver your deployment package and begin setup for your tier, with the software delivered within about a week of payment. Exact timing for done-for-you tiers depends on your inputs (knowledge base, integrations, and access).

3. Your responsibilities

• You provide and pay for your own AI model API keys (e.g. OpenAI, Anthropic) and your own hosting. Those usage costs — roughly a cent per conversation — are billed directly to you by those providers.
• You are responsible for your customers' data, for lawful use of the software, and for compliance with the laws and regulations applicable to your business and industry.
• Any third-party costs we arrange on your behalf are billed to you at cost, with a receipt — never marked up.

4. 30-day money-back guarantee

If we cannot get your Clare AI deployment live and resolving conversations within the agreed scope, you may request a full refund of the licence fee within 30 days of purchase. The care plan can be cancelled anytime and is refunded pro-rata for any unused prepaid period.

5. Ownership & intellectual property

You own your data and content. We (or our licensors) retain ownership of the Clare AI software and intellectual property. Where a tier includes source code (Professional and Enterprise), you receive a non-transferable, non-sublicensable licence to self-host and modify it for your own business use — you may not resell or redistribute the software or its source code.

6. Support & updates

Support and updates are provided as described for your tier and/or an active care plan. Without an active care plan, you are responsible for maintaining, updating, and securing your own deployment.

7. Acceptable use

You agree not to use Clare AI to break the law, to infringe others' rights, or to resell or redistribute the software outside the licence granted for your tier. You are responsible for what your deployment tells your customers and for keeping a human in the loop for sensitive actions, as the software is designed to support.

8. Warranties & liability

The software is provided "as is", without warranties of any kind to the extent permitted by law. To the maximum extent permitted by applicable law, our total liability under these Terms is limited to the amount you paid for the licence in the preceding 12 months.

9. Governing law

These Terms are governed by the laws of Malaysia, without regard to conflict-of-laws rules.

10. Changes to these terms

We may update these Terms from time to time; the "Last updated" date above will change when we do. Your continued use after an update means you accept the revised Terms.
